1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of VerixHQ ("VerixHQ", "the Service", "we", "us"), available at verixhq.com, including the products SparkProof, FieldProof and RamsProof, their websites, applications and related services.

By creating an account, accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or another legal entity, you represent that you are authorised to bind that entity to these Terms.

2. Description of the Service

VerixHQ is a software-as-a-service platform for construction and engineering professionals in the United Arab Emirates. It currently consists of three products:

  • SparkProof — an AI assistant for UAE electrical installation regulations (including the DEWA Electricity Wiring Regulations 2017): regulatory chat with citations, photo analysis of electrical installations, engineering calculators and PDF reports.
  • FieldProof — a snagging and inspection tool for field teams: inspection checklists, defect capture and report drafting.
  • RamsProof — a Risk Assessment & Method Statement (RAMS) generator for UAE contractors: work-type templates with prefilled hazards, controls and method steps, a 5×5 risk matrix and submission-ready PDF documents. Generated RAMS documents must be reviewed and calibrated by your competent person before issue.

3. Accounts and Registration

To use the Service you must register with a valid email address and password and confirm your email address. You agree to provide accurate information and keep it up to date.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@verixhq.com if you suspect unauthorised access.

We may suspend or terminate accounts that violate these Terms or are used fraudulently.

4. Subscriptions, Billing and Payment

The Service offers a Free plan with limited usage and paid monthly subscription plans with extended limits and features, as described on the Pricing page.

Paid subscriptions are currently payable in USDT (cryptocurrency, TRC-20 and other supported networks). Payment by bank card via Stripe is coming soon; when enabled, card payments will be processed by Stripe under its own terms.

Paid subscriptions renew monthly unless cancelled before the renewal date. Fees are non-refundable except as described in our Refund Policy.

You are responsible for any blockchain network fees and for sending the correct amount to the correct address and network. Payments sent to a wrong address or network may be unrecoverable.

5. Referral Program

The Service may offer a referral program: inviting new users via your referral link (the "ref" parameter) may grant you benefits such as subscription discounts or extended limits, as described in the Service at the time.

Referral benefits are non-transferable, have no cash value, and may be modified or withdrawn at any time. Self-referrals, fake accounts and other abuse of the program lead to cancellation of the benefits and may lead to account termination.

6. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose or in violation of UAE laws or regulations;
  • attempt to gain unauthorised access to the Service, its infrastructure or other accounts;
  • reverse engineer, scrape, or bulk-extract the Service’s content or regulation database;
  • upload malicious code or interfere with the operation of the Service;
  • misrepresent AI-generated output as certified engineering documentation;
  • resell or share your account access with third parties without our consent.

7. AI-Generated Content Disclaimer

SparkProof uses artificial intelligence to interpret regulations and analyse photos. AI output is provided for informational and reference purposes only. It may be incomplete, outdated or wrong, and it does not constitute professional engineering advice, a compliance certificate, or an official interpretation by DEWA or any other authority.

AI output is not a substitute for a licensed electrical engineer or consultant. Always verify critical requirements against the official regulation texts and with the relevant authority. All decisions made on the basis of the Service’s output, and their consequences, are your sole responsibility.

8. Intellectual Property

The Service, its design, code, branding and original content are the property of VerixHQ and are protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

Regulation texts referenced by the Service remain the property of their respective issuing authorities. Content you upload (photos, inspection data) remains yours; you grant us the right to process it solely to provide the Service.

9. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law, VerixHQ shall not be liable for indirect, incidental or consequential damages, loss of profit, data or business opportunities arising from the use of the Service. Our aggregate liability is limited to the amount you paid for the Service in the three months preceding the claim.

10. Changes to the Service or These Terms

We may update the Service and these Terms from time to time. Material changes will be announced in the Service or by email, and the "Last updated" date above will be revised. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
